How to build proprietary deal flow

Bailey Southwell has extensive networks of contacts in the middle market industries we serve, and often know of potential sellers many months before such transactions are announced. Private equity firms typically come to Bailey Southwell to discuss the kind of clients we serve, and see if there is a fit between these and the target investments of the private equity firm.

From the private equity firm’s point of view, this is good business, because it introduces them to deals of which they would be otherwise unaware, and positions them favorably to bid on such deals. From Bailey Southwell’s point of view, this is also good business, as we like to be able to recommend to a seller not only a fairly priced bid, but also a quality bid. Quality buyers—those who have developed a reputation for fairly using the due diligence process, getting financing in a timely fashion, and completing deals on the terms that were originally agreed—are important keys to achieving the goals of our sell-side clients, and we enjoy meeting them.
